7. Pricing and Payment
VaticAI's fees are determined by the specific services provided, the scope of work, and the duration of the engagement. We will provide you with a detailed proposal outlining the fees for your project before you engage our services.
Payment terms are typically upfront and before work commences however depending on agreement and negotiated terms net 30 days from the invoice date can be discussed. Late payments may incur a late fee.
8. Term and Termination
These Terms will remain in effect until terminated by you or VaticAI. You may terminate these Terms at any time by ceasing to use the Website. VaticAI may terminate these Terms, or your access to the Website, for any reason, at any time, without notice.
9. Confidentiality
VaticAI will maintain the confidentiality of all Client information, including but not limited to, marketing strategies, campaign details, and target audiences. VaticAI will not disclose this information to any third party without the Client's prior written consent.
10. Intellectual Property
VaticAI retains ownership of all intellectual property rights associated with the Services, including but not limited to, any creative assets or campaign materials developed by VaticAI for the Client. The Client retains ownership of their trademarks and copyrights used in the campaign.
11. Campaign Performance
VaticAI offers three primary campaign performance models:
- Audience as a Service Model: VaticAI will provide audience segments to be integrated or infused with current client campaigns for optimal results. VaticAI will provide reporting, insights and recommendations based on ongoing performance and will work with the client to ensure best results. VaticAI does not guarantee an uplift in this model.
- Standard Fully Managed Model: VaticAI will use commercially reasonable efforts to achieve your marketing objectives. VaticAI will provide regular reporting and analysis to track progress and optimize campaigns. However, due to the dynamic nature of online advertising and the influence of external factors, specific results cannot be guaranteed under this model.
- Guaranteed Outcome Model (Custom Agreement): In some cases, VaticAI may offer a guaranteed outcome model for specific campaign goals (e.g., website traffic, lead generation). This model requires a detailed agreement outlining the specific metrics, guaranteed outcomes, and associated fees. VaticAI will work collaboratively with you to determine if a guaranteed outcome model is suitable for your objectives.
Important Note: A guaranteed outcome model is not available for all campaigns and will be subject to a separate agreement outlining the specific terms and conditions.
12. Media Buying and Placement
VaticAI will use commercially reasonable efforts to execute media buys according to the agreed-upon strategy and budget. VaticAI will provide the Client with regular reports on media spend and placement verification.
13. Disclaimer of Warranties
The Website and Services are provided "as is" and without warranties of any kind, express or implied. VaticAI disclaims all warranties, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
VaticAI does not warrant that the Website will be uninterrupted or error-free, that defects will be corrected, or that the Website or the server that makes it available is free of viruses or other harmful components.
14. Limitation of Liability
VaticAI shall not be liable for any damages arising out of or related to your use of the Website or the Services, including but not limited to, direct, indirect, incidental, consequential, or punitive damages.
